Professional IT Services Agreement - Platinum IT Technologies

Acceptance of Terms

By engaging Platinum IT Technologies ("we", "us", "our") for IT consulting, cloud management, or any other professional services ("Services"), you ("Client", "you", "your") agree to be bound by these Terms of Service. These terms constitute a legally binding agreement between you and Platinum IT Technologies.

Services Description

Platinum IT Technologies provides comprehensive IT consulting and cloud management services including but not limited to:

Core Services

  • Cloud migration and infrastructure management
  • Azure cloud optimization and cost management
  • IT security assessments and compliance
  • Managed IT services and support
  • Custom application development
  • Technical consulting and advisory services

Service Delivery

All services are delivered in accordance with industry best practices and Australian standards. We reserve the right to modify service offerings with reasonable notice to existing clients.

Client Responsibilities

To ensure successful service delivery, you agree to:

Information Provision

  • Provide accurate and complete information about your IT infrastructure
  • Grant necessary access to systems and data for service delivery
  • Notify us of any changes that may affect service delivery
  • Maintain current contact information

Cooperation

  • Cooperate with our team during project implementation
  • Provide timely feedback and approvals
  • Ensure your systems meet minimum technical requirements
  • Comply with any agreed-upon procedures or protocols

Payment Terms

All fees and charges are outlined in the service agreement or proposal provided to you.

Payment Schedule

  • Consulting services: 50% upfront, 50% upon completion
  • Ongoing managed services: Monthly in advance
  • Project-based work: As outlined in project proposal
  • Emergency services: Immediate payment upon completion

Late Payments

Late payments may incur interest charges at the rate of 1.5% per month. Services may be suspended for accounts more than 30 days overdue.

Disputes

Any payment disputes must be raised within 30 days of invoice date. We will work to resolve disputes promptly and professionally.

Intellectual Property

We respect intellectual property rights and expect our clients to do the same.

Our Intellectual Property

  • All methodologies, processes, and tools developed by us remain our property
  • Custom code, applications, or solutions developed for you remain our intellectual property unless otherwise agreed
  • You receive a license to use deliverables for your business purposes

Your Intellectual Property

  • You retain ownership of your data, content, and pre-existing systems
  • You grant us necessary licenses to access and work with your intellectual property
  • We will not disclose confidential information without your consent

Confidentiality and Data Protection

We are committed to protecting your confidential information and comply with Australian Privacy Principles.

Confidential Information

  • Client data, business information, and technical specifications
  • Access credentials and security information
  • Project details and strategic plans
  • Financial information and pricing details

Our Obligations

  • Maintain confidentiality using industry-standard security measures
  • Limit access to confidential information to authorized personnel only
  • Use information solely for service delivery purposes
  • Return or destroy confidential information upon project completion

Service Levels and Warranties

We strive to deliver high-quality services but provide services on an "as is" basis.

Service Standards

  • Response times: Within 24 hours for standard requests
  • Emergency response: Within 4 hours for critical issues
  • Communication: Regular updates on project progress
  • Quality assurance: Industry best practices and standards

Limitations

While we use reasonable skill and care in providing services, we cannot guarantee specific outcomes or results. All services are provided "as is" without warranty of any kind, express or implied.

Termination

Either party may terminate services with appropriate notice.

Termination by Client

  • 30 days written notice for ongoing services
  • Immediate termination for material breach by us
  • Payment of all outstanding fees and expenses

Termination by Us

  • 30 days written notice for ongoing services
  • Immediate termination for non-payment or material breach
  • Immediate termination for illegal or unethical activities

Post-Termination

Upon termination, we will provide reasonable assistance for transition and handover of any deliverables or data.

Limitation of Liability

Our liability is limited to the extent permitted by Australian Consumer Law.

Liability Cap

  • Maximum liability limited to the total fees paid for the specific service
  • No liability for indirect or consequential losses
  • No liability for third-party claims or actions

Australian Consumer Law

Nothing in these terms excludes, restricts, or modifies the application of Australian Consumer Law, including the consumer guarantees.

Dispute Resolution

We prefer to resolve disputes amicably through direct communication.

Resolution Process

  • Initial discussion between client and account manager
  • Escalation to senior management if needed
  • Mediation as a final step before legal action
  • Queensland jurisdiction for any legal proceedings

Governing Law

These terms are governed by the laws of Queensland, Australia. Any disputes will be resolved in Queensland courts.

Australian Consumer Law Compliance

We comply with all requirements of the Australian Consumer Law and Competition and Consumer Act 2010.

Consumer Guarantees

  • Services will be provided with due care and skill
  • Services will be fit for their intended purpose
  • Services will be provided within a reasonable time
  • Right to repair, replacement, or refund for major failures

Your Rights

If you are a consumer under Australian Consumer Law, you have additional rights and remedies that cannot be excluded by these terms.
